Template — Pending Legal Review. This disclaimer has been prepared as a working template and is subject to review and approval by qualified legal counsel prior to final publication. Nothing herein constitutes finalized legal advice or a legally binding instrument until that review is complete.

1. General Disclaimer

The Continuum platform, website, and all associated tools, reports, scores, and communications (collectively, the “Platform”) are provided for informational and operational purposes only. Nothing on the Platform constitutes, or should be construed as, legal advice, financial advice, investment advice, regulatory guidance, tax advice, or any other form of professional advice.

Use of the Platform does not create an attorney-client relationship, a financial advisory relationship, or any other professional relationship between Continuum and any user, member, or third party. Users are solely responsible for evaluating the appropriateness of any information, score, or output provided by the Platform for their specific circumstances.

2. AI & Compliance Chatbot

The Platform incorporates AI-powered tools, including a compliance chatbot and automated analysis features. All outputs generated by these AI systems — including responses, summaries, recommendations, and assessments — are AI-generated and may contain errors, omissions, or inaccuracies.

AI-generated content does not reflect the views of Continuum or any licensed professional. It should not be relied upon as a substitute for advice from a qualified attorney, compliance officer, registered investment adviser, financial planner, or other licensed professional. Users are strongly encouraged to independently verify any AI-generated output and consult appropriate licensed professionals before taking any action in reliance on such output.

Continuum makes no warranty, express or implied, regarding the accuracy, completeness, timeliness, or fitness for purpose of any AI-generated content.

3. Data Value Scores & Trust Scores

Continuum's Data Value Scores, Trust Scores, and related proprietary metrics are internal analytical tools developed solely by Continuum for the purpose of facilitating informed decision-making on the Platform. These scores are based on proprietary methodologies and data inputs that may change over time without notice.

These scores are not credit scores, financial ratings, investment ratings, or any form of rating recognized or regulated by the U.S. Securities and Exchange Commission (SEC), the Consumer Financial Protection Bureau (CFPB), or any other regulatory body. They are not produced or endorsed by any nationally recognized statistical rating organization (NRSRO) and should not be interpreted as a measure of creditworthiness, solvency, or investment quality.

Any reliance placed on these scores is at the user's sole discretion and risk.

4. No Investment Advice

Continuum is not a broker-dealer, registered investment adviser, investment company, or securities exchange. Continuum is not registered with the SEC, FINRA, or any state securities regulator in any such capacity. Nothing on the Platform constitutes a solicitation, offer, or recommendation to buy, sell, or hold any security, token, digital asset, or other financial instrument.

The Platform does not facilitate or execute securities transactions. Deal flow information, company profiles, and verification reports made available through the Platform are provided for informational purposes only and do not constitute investment recommendations or endorsements of any kind.

Users considering any investment should conduct their own due diligence and consult a qualified, licensed investment adviser before making any investment decision.

5. Compliance Assessment

Compliance assessment features available on the Platform are designed as self-assessment tools intended to help users identify potential areas of regulatory focus. They are not a substitute for a professional compliance audit, legal review, or regulatory examination.

Formal, professional compliance audits are available exclusively through Continuum's Enterprise tier, which includes engagement with Bates Group LLC, an independent compliance consulting firm. Only the formal engagement process through Bates Group constitutes a professional compliance assessment. Self-assessment outputs generated by the Platform carry no regulatory standing and should not be represented to any regulatory authority as the result of a professional audit.

Continuum does not guarantee that use of any compliance feature will result in regulatory compliance, approval, or safe harbor status under any applicable law or regulation.

6. Third-Party Services

The Platform integrates or references third-party services and partners, including but not limited to:

  • Stripe, Inc.: Payment processing services. All payment transactions are subject to Stripe's own terms of service and privacy policy. Continuum does not store or have direct access to full payment card information.
  • Supabase, Inc.: Cloud database and authentication infrastructure. Data stored on the Platform is subject to Supabase's data processing terms in addition to Continuum's Privacy Policy.
  • Bates Group LLC: Independent compliance consulting services available at the Enterprise tier. Bates Group operates as an independent third party; its services, findings, and representations are governed by its own engagement terms and professional standards.

Continuum is not responsible for the availability, accuracy, or conduct of any third-party service. References to third-party services do not constitute an endorsement of those services beyond their stated integration purpose.

7. No Guarantees

Continuum makes no representations, warranties, or guarantees of any kind, express or implied, regarding:

  • Regulatory approval of any technology company, product, or offering reviewed or verified on the Platform;
  • The availability of capital, investment, or financing to any user or company;
  • The successful outcome of any fundraising, deal, transaction, or business initiative facilitated through or supported by the Platform;
  • Continued access to specific Platform features, scores, or data; or
  • The fitness, merchantability, or suitability of any information or output provided through the Platform for any particular purpose.

All features and outputs are provided on an “as is” and “as available” basis without warranty of any kind.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Continuum and its officers, directors, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to your use of, or inability to use, the Platform or any content, score, output, or service provided through it — including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational harm.

In no event shall Continuum's total aggregate liability to any user exceed the total fees actually paid by that user to Continuum in the twelve (12) months immediately preceding the event giving rise to the claim. If no fees have been paid, Continuum's total liability shall not exceed one hundred U.S. dollars (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.
